π (310) 201-3556I am a partner in the corporate department of Proskauer Rose LLP, working out of the Los Angeles office. My practice encompasses a broad spectrum of commercial law, with a significant portion of my time dedicated to issues related to the Uniform Commercial Code, particularly Article 9 β Secured Transactions. I am nationally recognized in these areas. Additionally, I am well-versed in third-party opinion letters and various aspects of contract law, including online contracting, plain English drafting, and boilerplate. I serve on the Permanent Editorial Board for the Uniform Commercial Code and the Council of the American Law Institute. For the past thirty years, I have participated in numerous Uniform Commercial Code drafting committees, notably the comprehensive revision of UCC Article 9 in 1999 and the 2022 UCC Amendments that address digital assets as collateral. I also teach Uniform Commercial Code β Secured Transactions as a Lecturer in Law at UCLA Law School. I played a key role as an Adviser in the development of the American Law Institute's recently completed Restatement of the Law, Consumer Contracts, and I am actively involved in several other Restatement projects. Previously, I chaired the American Bar Associationβs Section of Business Law and its Legal Opinions Committee. I have served as the Reporter for many TriBar Opinions Committee reports on opinions under the UCC and have been a longstanding member of the board of the Working Group on Legal Opinions.
