About Jessica Lockett

I am a member in good standing of the State Bar of California, and I work as a corporate and transactional attorney. My practice is primarily focused on corporate transactional law, securities, general business, and contract matters. I earned my J.D., cum laude, from Thomas Jefferson School of Law in 2012 and received both the CALI and Witkin Awards for my work in Securities Regulations from Cal Western School of Law. Additionally, I was honored with the Jefferson Fellow Dean’s Scholarship during my time at Thomas Jefferson. Before pursuing law, I completed my Bachelor of Arts in Psychology with a minor in law at the University of Arizona. Throughout my career, I have represented a diverse group of public and private companies at various stages of their development. My work includes corporate entity formation and maintenance, corporate governance, compliance with securities regulations, and handling merger and acquisition transactions. I assist clients in preparing and filing 1933 Act and 1934 Act Registration Statements, including Form 10, S-1, S-8, and S-4, and manage ongoing reporting compliance such as Form 10-K, 10-Q, and 8-K. I also organize annual and special shareholder meetings (Schedule 14A and 14C), manage fundraising under REG D, and handle Blue Sky filings with state regulatory authorities. Additionally, I am skilled in filing corporate actions with the Financial Industry Regulatory Authority (FINRA) and assist publicly-traded companies in joining and maintaining their listings on various exchanges and marketplaces.
