About Darren Pearce

I am a corporate attorney who works with businesses and individuals across a wide range of industries, helping them navigate complex transactional matters. My practice includes business and fund formation, corporate governance, venture capital financings, private securities offerings, drafting and negotiating various business and commercial contracts, and providing general corporate counsel. Before joining Structure Law Group, I practiced at a corporate firm focused on the emerging companies and venture capital sector. During that time, I worked on fund formation matters, advised venture capital funds and startup companies on SAFEs, convertible notes, equity financings, corporate governance, and served as "outside in-house counsel." I earned my J.D. from UCLA School of Law and hold a B.A. in Political Science from Pennsylvania State University. When I’m not working, I enjoy reading, exercising, playing video games, collecting sneakers, or experimenting with new recipes in the kitchen.
